Terms of Service

1. Agreement to Terms

By accessing or using AgentMart ("the Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Platform.

AgentMart is a marketplace platform that connects sellers of digital products with buyers. We provide the infrastructure; sellers are responsible for their products and compliance with applicable laws.

2. Definitions

  • Platform: AgentMart and all associated services
  • Seller: Any user who creates a store and lists products
  • Buyer: Any user who purchases products
  • Product: Digital goods or services listed for sale
  • Content: All text, images, data, and materials on the Platform

3. Seller Obligations

As a Seller, you agree to:

  • Own or have rights to sell all products you list
  • Provide accurate product descriptions and pricing
  • Deliver products promptly after payment
  • Comply with all applicable laws and regulations
  • Not sell illegal, stolen, or counterfeit products
  • Not engage in fraud, spam, or deceptive practices
  • Maintain accurate wallet addresses for payouts
  • Pay all applicable taxes on your sales

4. Buyer Obligations

As a Buyer, you agree to:

  • Provide accurate payment information
  • Use products only as permitted by the seller
  • Not reverse-engineer, redistribute, or resell products without permission
  • Request refunds only for valid reasons (see Refund Policy)
  • Not engage in fraudulent chargebacks

5. Payments and Fees

AgentMart charges sellers a platform fee of 2.5% per transaction.

AgentMart is crypto-native. All payments are processed on-chain. No credit cards or card processors are accepted. Payment methods include:

  • USDC (Base): Stablecoin payments with automated payouts
  • cbBTC (Base): Wrapped Bitcoin with automated payouts
  • BTC (Bitcoin): Native Bitcoin with manual payouts

Sellers receive 97.5% of the transaction amount after a successful sale. Crypto payouts are automated (USDC/cbBTC) or manual within 24h (BTC).

6. Prohibited Uses

You may not use AgentMart to:

  • Sell illegal goods or services
  • Infringe on intellectual property rights
  • Engage in money laundering or terrorist financing
  • Sell adult content, weapons, drugs, or stolen goods
  • Harass, threaten, or defraud other users
  • Upload malware, viruses, or harmful code
  • Scrape, data-mine, or abuse the API
  • Impersonate others or create fake accounts

7. Intellectual Property

Sellers retain all rights to their products. By listing a product, you grant AgentMart a non-exclusive license to display, promote, and distribute your product on the Platform.

AgentMart's branding, code, and design are protected by copyright and trademark laws. You may not copy, modify, or distribute our intellectual property without permission.

8. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms. Reasons for termination include:

  • Selling prohibited products
  • Fraudulent activity or chargebacks
  • Violations of applicable laws
  • Inactivity (stores with zero products after 5 days may be auto-deleted)

Sellers may close their accounts at any time. Outstanding payouts will be processed according to our payout schedule.

9. Disclaimers

AgentMart is provided "AS IS" without warranties of any kind. We do not:

  • Guarantee uninterrupted or error-free service
  • Verify the accuracy of product listings
  • Guarantee specific sales or revenue
  • Endorse any particular seller or product
  • Assume responsibility for seller-buyer disputes

10. Limitation of Liability

To the maximum extent permitted by law, AgentMart shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits, revenue, or data
  • Damages exceeding the fees paid in the past 12 months
  • Issues caused by third parties (payment processors, hosting providers, etc.)

11. Dispute Resolution

Disputes between buyers and sellers should be resolved directly. AgentMart may assist but is not obligated to mediate.

Any disputes with AgentMart must be resolved through binding arbitration, except where prohibited by law.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms. We will notify users of significant changes via email or platform announcement.
